ProcureClix Terms of Service


1. Acceptance of Terms

By accessing or using the ProcureClix platform, website, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Services.

2. Description of Services

ProcureClix Inc. (“ProcureClix,” “we,” “our,” or “us”) provides a cloud-based procurement and sourcing platform delivered as Software-as-a-Service (SaaS).

The Services may include:

  • RFx (RFP, RFI, RFQ) tools
  • Reverse auction functionality
  • Supplier and vendor management
  • Procurement workflows, reporting, and analytics

3. Eligibility and Account Responsibility

You must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the confidentiality of your account credentials

You are responsible for:

  • All activities under your account
  • Ensuring authorized use by your organization’s users

4. Acceptable Use

You agree to use the Services only for lawful business purposes.

You may not:

  • Access or use the Services for illegal or fraudulent purposes
  • Attempt to gain unauthorized access to systems or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, copy, or misuse the platform

5. Customer Data

Customers retain ownership of all data submitted to the Services (“Customer Data ”).

ProcureClix will:

  • Process Customer Data solely to provide the Services
  • Maintain appropriate safeguards to protect such data

Customer Data handling is further governed by applicable agreements, including any Service Provider Agreement (“SPA”) or Data Processing Agreement (“DPA”), where applicable.

6. Data Protection and Privacy

CustoUse of the Services is subject to the ProcureClix Privacy Policy, which describes how personal data is collected and processed.

Where applicable, ProcureClix will process personal data in accordance with:

  • Applicable data protection laws
  • Any executed Data Processing Agreement (DPA)

7. Availability and Support

ProcureClix will use commercially reasonable efforts to provide reliable access to the Services.

However:

  • The Services are provided on an “as available” basis
  • Scheduled maintenance, updates, or interruptions may occur

Support, onboarding, and service levels may be governed by separate agreements.

8. Fees and Payment

Fees for the Services are defined in separate agreements, including proposals, order forms, or contracts.

Failure to pay applicable fees may result in suspension or termination of access.

9. Intellectual Property

ProcureClix retains all rights, title, and interest in and to the Services, including:

  • Software and platform functionality
  • Design, content, and documentation
  • All related intellectual property

Customers are granted a limited, non-exclusive, non-transferable right to use the Services during the term of their agreement.

10. Confidentiality

Each party agrees to:

  • Protect confidential information disclosed by the other party
  • Use such information solely for purposes of the business relationship

Confidential information does not include information that:

  • Is publicly available
  • Was independently developed
  • Was lawfully obtained from a third party

11. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, ProcureClix disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law:

ProcureClix shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, business opportunities, or data

ProcureClix’s total liability shall not exceed the total fees paid by the customer in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ProcureClix from any claims, damages, or liabilities arising from:

  • Your use of the Services
  • Violation of these Terms
  • Infringement of third-party rights

14. Term and Termination

Access to the Services may be suspended or terminated:

  • If these Terms are violated
  • If required by law
  • For non-payment

Customers may terminate use of the Services in accordance with their applicable agreement.

Upon termination:

  • Access to the Services will be revoked
  • Customer Data handling will follow applicable agreements and policies

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

16. Changes to Terms

ProcureClix may update these Terms from time to time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.
